Schedule A - Annual Rebate
Annual Rebate Structure
Rebates are calculated on net invoiced sales for the calendar year, January 1 to December 31, and paid by EFT in January of the following year.

Program Benefits
Every approved partner receives trade pricing and quarterly statements. Higher-volume partners unlock additional account, production, freight, and closeout benefits.
Annual Rebate
Qualified partners receive a tier-based annual rebate from 1.0% to 3.0%.
Trade Pricing
All approved tiers receive standard Trade Partner pricing.
Quarterly Statement
All approved tiers receive quarterly program visibility.
Dedicated Manager
Available to Platinum and Gold partners.
Priority Production
Available to Platinum and Gold partners.
Free Freight
Platinum partners may qualify on orders of $25K or more.
Freight Subsidy
Platinum and Gold partners may qualify on orders of $50K or more.
Clearance Access
Available to Platinum, Gold, and Silver partners.

The program is designed around core hotel renovation and FF&E categories used in guest rooms, bathrooms, public spaces, and brand-approved projects.
Program terms
Terms, Exclusions, and First-Year Tier Placement
These terms summarize how rebates are paid, what is excluded from rebate calculation, and how first-year partner tiers are finalized.
Payment
- Rebate is paid by EFT or check in January of the following calendar year.
- Rebate covers the prior January 1 to December 31 period.
- Calculation is based on net invoiced sales.
- Partner account must be current with no receivables aged beyond 30 days.
- No deductions are permitted in lieu of rebate payment.
First-Year Partners
- Initial tier is based on projected annual sales agreed at enrollment.
- Final tier is determined at the end of Q4 using actual verified net sales.
- A true-up is applied to the earned tier level for the full year.
Excluded From Rebate
- Freight, delivery, installation, and warehousing charges.
- Sales tax, duties, and tariffs.
- Returns, credits, and damage claims.
- Closeout, clearance, liquidation, and below-wholesale special-purchase items.
- Drop-ship orders outside the UHS warehouse network.
- Orders with partner-specific discounts of 5% or more at time of sale.
Program Administration
- Initial term begins at 12:00 AM EST on the date of partner approval.
- Termination follows Section 2.2 of the Trade Partner Services Agreement.
- UHS may modify or terminate the program with 60 days notice.
- Rebates earned before modification will be honored under the terms in effect at time of sale.

Approval
Approval typically takes 3 to 5 business days.
